Supplier Terms and Conditions for Wattage Media

1. Definitions

1.1 “Supplier” refers to the entity providing goods or services to Wattage Media.

1.2 “Wattage Media” refers to the purchaser of goods or services as specified in the purchase order.

1.3 “Agreement” refers to these terms and conditions, alongside any purchase orders or contracts issued.

1.4 “Goods” or “Services” refers to the products or services provided by the Supplier under this Agreement.

2. Applicability

2.1 These terms and conditions apply to all transactions between the Supplier and Wattage Media unless explicitly agreed otherwise in writing.

2.2 Any terms proposed by the Supplier that conflict with these terms shall be void unless explicitly accepted in writing by Wattage Media.

3. Purchase Orders

3.1 Purchase orders issued by Wattage Media are binding only if provided in writing.

3.2 The Supplier must confirm acceptance of the purchase order within five (5) business days.

4. Delivery and Performance

4.1 Delivery of Goods or completion of Services must adhere strictly to the timeline specified in the purchase order or agreed in writing.

4.2 Time is of the essence. Failure to meet the agreed delivery or performance timeline may result in termination of the Agreement without liability to Wattage Media.

5. Quality and Standards

5.1 The Supplier warrants that all Goods and Services will:

• Comply with applicable UK laws and regulations.

• Be of satisfactory quality and fit for purpose.

• Conform to the specifications outlined in the purchase order.

5.2 Wattage Media reserves the right to inspect and reject any Goods or Services not meeting agreed standards.

6. Invoicing and Payment

6.1 Invoices must be submitted promptly upon delivery of Goods or completion of Services.

6.2 All invoices must include:

• Purchase order number.

• Detailed breakdown of Goods or Services provided.

6.3 Payment terms are strictly net thirty (30) days from the date of a valid invoice, provided that the Goods or Services have been delivered or performed satisfactorily.

6.4 Payment will be made via bank transfer unless otherwise agreed in writing.

7. Confidentiality

7.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the Agreement, unless required by law or with prior written consent.

8. Liability and Indemnity

8.1 The Supplier is fully responsible for ensuring compliance with all applicable laws and regulations in the provision of Goods or Services.

8.2 The Supplier indemnifies Wattage Media against all claims, losses, damages, and liabilities arising from the Supplier’s breach of this Agreement or negligence.

9. Termination

9.1 Wattage Media may terminate this Agreement or any purchase order immediately if the Supplier:

• Fails to perform as agreed.

• Becomes insolvent or enters liquidation.

9.2 Upon termination, the Supplier must refund any prepayments for Goods or Services not delivered or performed.

10. Governing Law

10.1 This Agreement is governed by and construed in accordance with the laws of England and Wales.

10.2 Any disputes arising shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Miscellaneous

11.1 These terms constitute the entire agreement between the parties, superseding any prior arrangements.

11.2 Amendments to these terms must be made in writing and signed by both parties.

By accepting a purchase order from Wattage Media, the Supplier agrees to be bound by these terms and conditions.
